Temenos (previously operating in Australia as Rubik, ASX: RFL) is a leading Fintech that delivers core banking, wealth, analytics and front-end solutions. Temenos’ clients in Australia include leading financial institutions, NeoBanks/challengers, and government organisations.

My role encompasses broad legal and commercial advisory to the Asia-Pacific region's staff and management, including: 
•	client and supplier negotiations and agreements (inc. infrastructure agreements for Cloud)
•	APAC legal team's deputy leadership
•	participating in the Temenos Pacific Management Team
•	advisory on M&A and integrations for the group
•	management of disputes and litigation
•	general corporate advisory and company secretary duties for Temenos Australia
•	regulatory advisory and training (inc. APRA prudential standards and privacy requirements)
•	crisis management, security breaches and business continuity
•	employment advisory
•	legal process improvement

•	negotiated core banking cloud solutions with Bank of Queensland, Police Bank, Judo Capital, Volt, MyLife MyFinance (now part of Challenger) BNK Bank, Alex Bank, Northern Inland Credit Union – closed first Temenos core banking cloud deal
•	negotiated front end SaaS solutions with Bank of Queensland, Hub24, Netwealth, RACQ
•	negotiated complex source code license and cloud managed service deal to Australian Big4 bank (inc. transfer of production cloud environments, IP and employees)
•	assist in the private acquisition of Australian SaaS provider, Avoka Technologies
•	assist in the sale and delisting of Rubik to Temenos AG via a scheme of arrangement (sale-side)
•	integrated Rubik into Temenos' global operations

DealTX is a SaaS automation and workflow tool for professional services firms. DealTX was incubated by UNSW Innovations, and backed by the NSW Treasury’s MVP Grant.

DealTX goal is to automate high value work between advisors (starting with M&A lawyers) and parties involved in corporate transactions, and allows advisors and their clients to manage their transactions from end-to-end.

As the CEO of DealTX, my role covers all aspect of business operations, including creating business requirements, product management and testing, financial modelling, marketing, sales and pitching, corporate secretarial and accounting.

At G+T, I was in corporate advisory team, advising on public (regulated) and private (negotiated) acquisitions, trust schemes of arrangement, corporate restructures, management and employee incentive plans, initial public offerings, establishment of corporate and trust structures, debt and equity fundraising.

Some highlights of my time at G+T are
• the listing of the Australian Unity Office Fund (ASX:AOF);
• the listing of the Viva Energy REIT (ASX:VVR);
• the trust scheme of arrangement of the Mirvac Industrial Trust (ASX:MIX) by Goldman Sachs;
• the off-market acquisition of Matrix Wealth Advisors by ClearView Wealth (ASX:CVW);
• advising on corporate matters for listed and unlisted fintech companies including horizontal acquisitions, establishment of employee remuneration programs (ESOPs, executive loans, and long term incentive plans), corporate restructures, negotiation of confidentiality arrangements, and negotiation of supplier contracts;
• advising on the establishment of VCLPs and ESVCLPs for multiple PE and VC firms;
• advising the investment arm of a large-ASX listed company on the investment in a Chinese asset based limited partnership;
• advised PE firms on the acquisition of various allied health and medical centres;
• advising start-ups and SMEs on various corporate matters, including restructures and fundraising;
• the negotiated acquisition of Base Backpackers by Nomads Adventure Co;
• advising a US-based investment bank on the restructure of cross-border funding;
• the acquisition of Talent2 International by 5V Value Capital Partners;
• advising the venture capital and investment branches of a large ASX-listed company on the establishment of a VC-like carry plan and bonus plan;
• FIRB applications for Chinese based property developers; and
• shareholders’ agreements for PE and VC firms.

William Roberts Lawyers is a boutique commercial firm specializing in insurance and banking litigation. Its clients include multinational banks and credit providers, domestic and international insurance and re-insurance companies, litigation funders, and high net-worth private clients.

At William Roberts, I advised in commercial litigation, predominantly for insurance and banking clients. I lead matters in the Local Court and various non-NSW courts autonomously, and assisted in carriage of matters in the Supreme Court, District Court and Federal based courts.
