For over 35 years, I have practiced law in the area of employee benefits and executive compensation, and have extensive experience dealing with tax-qualified retirement plans, employee welfare benefit plans nonqualified deferred compensation arrangements, and equity compensation arrangements.  I also have experience with VEBA trusts, self-funded welfare plans, HRAs, MSAs, HSAs, FSAs, prohibited transactions, and exemption therefrom, golden parachute payments, other compensatory issues, including the discrimination, securities, tax and other laws pertaining thereto.  I have represented and advised clients and attorneys in numerous administrative and litigation matters.  I have prepared MS Excel spreadsheets for M&A transactions (getting all the compensatory elements - options and phantom stock and taxes thereon -  built into the calculations with formulas), and MS Excel spreadsheets for golden parachute (Code 280G) calculations (with built in variations for expenses, stock price, timing of transactions, etc.).  I have experience in all aspects of compensation for employees, from fringe benefits to welfare benefits and pension benefits, and non-qualified deferred compensation).  I am able to assist with ERISA litigation (plaintiff or defendant), and I have been involved with the defense of same in many situations, and familiar with case law in this area.  I have been involved with the design and structure of compensatory arrangements of all types (welfare plans, pension plans, equity or quasi-equity arrangements, incentive plans (long and short term), etc.) of compensatory arrangements.
