As Company Secretary I was responsible for all aspects of PLC board and committee governance, administration of group options and share schemes, and supporting the Board and management on corporate transactions (including the successful merger between finnCap Group plc and Cenkos Securities plc in September 2023).

Reporting directly to the Company Secretary as the number two in a team of five, I managed the day to day operation of the Secretariat team. During my tenure as Assistant Company Secretary, I provided company secretarial support on a number of significant corporate transactions, including drafting content for shareholder circulars, formulating UK & South African transaction timetables and structure, managing corporate authorisation procedures, and overseeing due diligence and verification processes. 

Other responsibilities included acting as Secretary to the boards of a number of joint ventures, the preparation of dividend timetables incorporating both UK, SA and scrip dividend requirements, general corporate governance (including Listing and Disclosure and Transparency Rules) advice to the business, managing the group’s D&O insurance renewal process and day to day management of employee share schemes.

Training role with responsibilities including statutory records support, maintenance of group bank mandates, monitoring shareholder movements and updating the group structure chart. I completed the ICSA’s Professional Qualifying Scheme whilst in this role.
