•	Provide legal expertise and guidance for each of Franchise’s verticals: Core, Customer Engagement & Performance, Innovation, Dispute Resolution Management, Architecture & Standards, as well as Compliance (including AML), and Public Policy.
•	Provide legal expertise and global support for each of Mastercard’s five geographic regions.

Trading and Securities Financing Agreements
●	Negotiated a broad range of derivatives trading and securities financing agreements for the 
        Corporate and Investment Bank’s Global Markets and Trading line of business domestically and in 
        Latin America.  Agreements included ISDA Master Agreements, master forward transactions 
        agreements (MSFTAs), related collateral and credit support arrangements under New York-and 
        English-law governed Credit Support Annexes (CSA) in satisfaction of U.S., EMIR and other 
        mandatory regulatory margin regimes globally (Non-Cleared Swaps Margin Rules), triparty 
        custody, control and collateral segregation agreements.
●	Advised business and credit stakeholders as to the business, credit and operational ramifications of 
        legacy contract provisions and proposed legal terms, as applicable, in the context of the relevant 
        trading relationship.
●	Was responsible for drafting portions of JPMorgan Chase’s federally mandated resolution plans 
        relevant to derivatives legal team.

Machine Learning and Smart Contracts Experience
●	Led North American user acceptance testing for electronic negotiation platforms for the 
        derivatives legal team, managing a team of 3
●	Served as the technology subject matter expert for the derivatives legal team - assisted in 
        developing software, database architecture and API development, authored logic sequences used 
        by programmers for contract automation, worked with experts in emerging data capabilities, and 
        familiarized technologists with legal agreements in the development of in-house technology

Additionally, I engaged in extensive international advisory work as well as advisory work related to compliance with Dodd-Frank and Commodities Futures Trading Commission (CFTC) regulations.

My finance practice included a banking and structured finance practice in substantive areas including syndicated lending, secured finance transactions, public and private auto loan and auto lease receivable securitizations. Additionally, I counseled public and private companies including companies controlled by private investment funds in a variety of corporate transactions, including strategic acquisitions and divestures, equity and debt financings and other complex business transactions.

My representations included a Big Three U.S. automaker in public securitization transactions ranging from $900 million to $4 billion, domestic and foreign companies in public debt offerings and Rule 144A private debt offerings ranging from $150 million to $4 billion, and debtor companies seeking Debtor-in-Possession (DIP) financing and prepackaged bankruptcy.
