Director - Transaction Management at Saudi Water Partnership Company (SWPC)

Structured following projects end to end on BOO(T) framework with 25 years concession term (backed by Ministry of Finance sovereign guarantee) starting from defining the project (concept report), procuring approvals from government stakeholders, engaging advisors, preparing and subsequently satisfying the project risk register, preparation of RfQs and evaluation of SoQs, preparation of RfPs (in coordination with several government entities/departments) and evaluation of bids, negotiating mark ups on project agreements, announcing preferred bidder and subsequently managing execution of the project agreements, satisfying all of WECs condition precedents and ensuring timely achievement of Financial Close, procuring approvals from relevant authorities for all the stages of procurement process.

-Developing Business & Corporate Strategy and Plans.
-Developing Partnering Strategy on case by case basis and negotiating JDA (Joint Development Agreement), SHA (Shareholders Agreement) and MoUs with Potential Development Partners and Term Sheets/Head of Terms with EPC and O&M Contractors.
-Leading Proposal Development in coordination with several internal departments, EPC contractor, O&M Contractor, external advisers (Including Technical, Financial, Legal, Tax, Insurance from Sponsors and Lenders side), lenders etc.
-Leading Financial Close: Contracts Negotiation and Execution, Satisfaction of all Conditions Precedents, achieving first draw down and handover to SPV.

Projects:
- Lead Financial Close for "King Khaled International Airport - Brackish Water RO Plant" Developed by Miahona under a non-recourse project finance structure with a term of 30 years.
- Lead Bid Development for Manfouha ISTP (200,000 m3/day) capacity independent sewage treatment plant. 
- Lead Bid Development of several medium to small capacities IWPs (independent water plants) and ISTPs (independent sewage treatment plants).

Business Development Manager

Experienced typical business development role in the development/investment arm of Samsung C&T corporation which usually takes minor equity in the project company and acts mostly as a co-developer. Major role was gathering projects intelligence and screening feasible projects, sounding potential partners and negotiating Joint Development Agreements/MoUs, Managing Pre-Qualification Documents and Developing proposals/bids in co-orindation with severeal internal (Engineering, Project Finance, Legal etc.) teams and external (Technical Advisor, Financial Advisor, Lenders, EPC Contractors, OEMs etc.) parties, Negotiating project & financing agreements and satisfying all Condition Precedents in order to achieve financial close, first draw down from senior debt and handover project to SPV (Project Company). 

In Samsung C&T, I have been engaged in key transactions in Middle-East & North-Africa region. These transactions includes, besides others, the development of power projects such as Facility D IWPP 2,000 MW (Qatar), Kirikkale IPP 835 MW (Turkey), Rabigh 2 IPP 2,060 MW (KSA), Qurayyah IPP 3,927 MW (KSA), EMAL Power Plant Phase II 1,023 MW (UAE), Hassyan Coal Fired IPP 1,200 MW (UAE), Hassyan Gas Fired IPP 1,500 MW (UAE), Mirfa IWPP 1,600 MW (UAE), Az Zour North Phase 1 IWPP 1,500 MW (Kuwait), Ibri & Sohar 3 IPP 3,250 MW (Oman), Az Zour North Phase 2 IWPP 1,500 MW (Kuwait), Fadhili IPP 1,600 MW (KSA), Emal Power Plant Expansion 235 MW (UAE), Dubal CCPP 550MW (UAE). I have been also engaged with development of Oil/Gas projects such as ELNG import terminal in Fujairah, Ras Markaz oil storage tank in Oman, Salalah LPG extraction plant in Oman, Fujairah Tank Terminal Project in UAE, Duqm Refinery in Oman etc.
