Josh Ephraim is the Associate General Counsel at Paradigm, a prominent investment firm. With respect to @fredwilson , I would take the other side of this bet.
For 2026, he predicts a majority of VC deals will close without lawyers on either side of a transaction.
Fred underestimates the work that happens on the Company side, and that most VCs don’t keep things as simple and founder friendly as his firm does.
If the prediction was limited to investor-side representation for top tier seed stage VC’s with in house legal expertise, I could see it.
But I don’t think smart founders will even skip having their legal counsel review most term sheets (nor should they). And that’s partly because most term sheets are not as clean and straightforward as USV’s.
For Safe financings this might already be true, but for a financing where a company is selling preferred stock, AI tools are not in a place where founders should feel comfortable with AI navigating the 130+ pages of the five main financing documents, properly navigating any required consents and other ancillary agreements required.
