Pacific Gateway Concessions, LLC

VP Finance & Controller for affiliate divestiture from Mobileum and leader in IoT and connected car space.  Responsible for FP&A, financial reporting, monthly close, administration, and managing outside legal advisors. 

FP&A - Owned company financial model. Prepared forecasts for board and management. Prepared Monthly Budget variation to actual.  Prepared merger models for proposed and completed acquisitions.

International Entities - Set up overseas legal entities including establishing banking, local accounting support and supervising local HR, regulatory, financial reporting and legal activities.

Divestiture - managed and executed complex divestiture of GlobeTouch assets including acquisition agreement, transitional services agreement, IP cross-licensing, and financing documents.  Managed successful shareholder vote to approve the transaction.

Fundraising - GlobeTouch Series A and Series B financing  - managed and closed convertible note and equity financing of GlobeTouch with strategic investors totaling $30 m.  Developed financial model, investor deck and business plan. Investors include venture funds of major global mobile network operators. Owned Cap Table and prepared pro-forma cap tables.

Managed acquisition, close and integration of Fogg Mobile AB in Sweden and the U.S.  Established Swedish entities, financial systems, and banking infrastructure.  Responsible for Globetouch's multiple international entities and recasting and consolidation of IFRS statements to US GAAP.

Responsible for Finance Operations, FP&A and Reporting. Developed and maintained annual budget and multi-year financial forecast. 

Financial Reporting - Developed regular financial reports, forecasts and strategy documents for Board.  

Finance Operations - Manage international entities, HR, banking, and tax reporting in multiple jurisdictions including Argentina, Sweden, Uruguay and Netherlands. Developed audit supporting materials and wrote supporting notes for domestic and international audit and tax reports, managed 409A  stock valuations, periodic valuations of intangible assets related to acquisitions and maintained company's capitalization table. Responsible for risk management and D&O and commercial insurance for US and overseas entities. 

Acquisitions - Lead acquisitions end-to-end including merger model, definitive agreement, employment agreements, and associated agreements.  Directed US & local counsel and accounting advisors to address employment, tax liability and benefits issues both pre and post acquisition. Recast IFRS financials to USGAAP accounting presentation. Established local legal entity, banking and audit resources. Responsible for related employment, benefit agreements and integration.

Revenue - Grew revenue to $7 million annual run rate by doubling number of Stelera distribution locations and tripling number of small business and consumer broadband subscribers.

Customer Service - Maintained churn at less than 2%

Sales Management - Lead team of regional sales managers including setting monthly and quarterly quotas, commission plans, and marketing and media spend in direct mail, radio and events with agent partners.  Focus on SMB customers using product mobility feature.

Distribution Growth - Worked with sales managers to recruit, train and conduct co-marketing activities with new retail partners including wireless re-sellers, satellite tv agents, and non-traditional distributers

Expense & Cash Management -Increased cash flow by reducing staff expenses and obtained forbearance on $35 million loan agreement with U.S. Department of Agriculture, re-negotiating tower leases and other vendor agreements

Strategic Corporate Finance - Improved company liquidity by using customer equipment inventory as loan collateral. Successful exit to AT&T Wireless.

Founded Start-up and had key role in developing strategy and major go to market decisions including product definition, technology selection, market research, business plan, and financial model.  

Equity & Debt Finance - Raised $19 million equity in two rounds; Applied for and secured $35 million in debt from US Government Rural Broadband Loan Program.  

Finance Operations - Responsible for reporting to and negotiating with lender.  Managed controller, HR and treasury functions and oversaw KPMG audit.

Strategy - Developed spectrum bidding strategy resulting in 42 CMA and EA licenses covering 6 million people in 8 states in 2006 FCC AWS auction.

Business, Accounting and Finance Systems - Selected vendors and managed implementation of BSS/OSS, accounting, billing, merchant card serivces, web-based retail activation, customer email system and SIM card & Customer Premise Equipment (CPE) inventory control.

Project Management - Managed build of core, long-haul, microwave and radio access network in 2007 resulting in operational test network in early 2008 and roll-out of commercial network in four states 12 months later.  

Procurement & Sourcing - Identified and sourced first HSPA 7.2 data devices (gateway, card, and usb stick) in new AWS spectrum.

Technical and Network Operations - Completed network upgrade from hybrid backhaul of IP and TDM to full IP network for transport and control planes and network core resulting in higher speeds (14 Mbps) and ultra-low latency.  

Commercial Agreements - Responsible for issuing RFPs. vendor selection and commercials for microwave, equipment installation at towers, long-haul fiber, and tower lease acquisition.

COO & CFO

Head of Corporate Development reporting to the Chairman & CEO as part of executive leadership team.  Led global mergers & acquisitions activities, strategy and business development activities. Key role in 2005 initial public offering (NYSE: SVR), working with investment banking team and  developing documents such as S-1 and investor presentation.  Worked closely with Private Equity partner GTCR.  Responsible for building relationships with investment bankers, evaluating acquisition and investment opportunities, and preparing materials for management & board approval.  Completed five transactions with values ranging from $10 - $400 million in North America, Europe and Asia.  Transactions and deal issues included carve-outs, equity investments, earn-outs, cross-border implications in employment and financial reporting, and regulatory review under HSR including enhanced Department of Justice scrutiny.  Spearheaded internal product, HR, and technology diligence teams and managed outside legal and financial due diligence advisers in multiple geographies. 

Advised and promoted successful strategy that Syniverse pursued against EDS (now HP) to enforce non-compete agreement from prior acquisition.  Legal decision resulted in the court assigning non-compete to new acquirer of assets and the eventual acquisition of assets by Syniverse.

Successfully obtained regulatory approval of acquisition of Electronic Data System (EDS) assets under Hart, Scott, Rodino Act.  Responsible for gathering material responsive to government requests, market share data, and economic analysis. Secured approval after second-level scrutiny by Justice Department.

Reviewed and engaged on multiple acquisition opportunities in network, messaging, data clearing, financial clearing, e911 and mobile content space.
