Provided comprehensive legal advice to the executive team and board of directors on a diverse array of B2B cybersecurity software technology operations, including review, drafting, and negotiation of commercial technology agreements, data privacy/GDPR compliance, employee and contractor engagement, IP protection, M&A pre-diligence preparation, equity administration, and international expansion.

Managed core legal documentation comprising software licenses, service agreements, software/security vendor contracts, reseller agency agreements, commercial lease agreements, and outside counsel engagements.

Provided counseling on applicability and roadmap for compliance with data privacy and security regimes, including GDPR, CCPA, SSAE SOC standards, and ISO requirements.

Advised on selection and onboarding of professional employer organizations.

Developed company employment and contractor agreements, such as territory-specific restrictive covenant workups regarding non-competition, non-solicitation, and confidentiality provisions.

-Review, drafting and negotiation as to the company's first enterprise revenue-generating technology sales/licensing transactions, including reseller agreements, MSA, SLA, SOW, and integration docs.

-Implementation of effective risk management strategies to mitigate potential legal risks and ensure compliance with applicable laws and regulations.

-Delivery of an updated Equity Compensation Plan including advice on administering time-based and milestone-based equity vesting programs, options award grants, and board resolution development.

-Provided legal advice and support to various business units, including sales, engineering, product development and general administration.

In-house general counsel of a B2B cybersecurity software solutions provider focused on e-commerce.  

Key Activities Included:  
-Company strategy for IP, Patents and Trademarks, GDPR/CCPA privacy law matters, and local employment law compliance.
 
-Administration of the Company's Equity Compensation Plan and all related equity grants, including management of multiple vesting programs (milestone, time-based, and bonus equity).

-Domestic and international payroll, benefits, and incentive compensation.
   
-Employment agreements (28 states), including state specific restrictive covenants.
   
-Corporate governance and subsidiary formation/maintenance across multiple jurisdictions, including drafting of board actions and corporate minutes.
  
-Legal diligence on merger and acquisition targets, and related risk analysis as to employment law liability and technical integration matters.
