Senior Managing Counsel

Insurance Operations Law, November 2013 – present: Manage and lead team of attorneys and paralegals responsible for supporting Allstate's Marketing, Corporate Relations, and Innovation departments. Accountable for review of all marketing materials, clearance and registration of new trademarks, maintenance of existing trademark portfolio, and regulatory compliance of marketing programs and new products developed by Innovation department. Overseeing integration of three separate teams into one and building new team structure to utilize paralegal resources and reduce external expenses. Manage administrative assistant team.Corporate Governance, December 2008 – November 2013: Responsible for drafting proxy statement for The Allstate Corporation, including working closely with General Counsel, CEO, CFO, Corporate Secretary, and head of Human Resources regarding compensation disclosure, governance practices, and solicitation strategy for annual meeting.  Handled legal aspects of annual stockholders meeting. Managed entire proxy statement process from initial drafting and design to printing, including collaboration with business units across enterprise to obtain data for reporting. Accountable for filing of no-action requests related to stockholder proposals and discussions with stockholder proponents. Engaged in solicitation discussions with institutional investors and proxy advisory firms. Experience with S-3 and S-8 registration statements, subordinated debt and preferred stock offerings.

Senior Attorney

Counseled Chief Privacy Officer on compliance with privacy related laws and regulations, including Gramm-Leach-Bliley, Chil-dren’s Online Privacy Protection Act, Health Insurance Portability and Accountability Act, Office of Foreign Asset Control regulations, FACTA, California’s SB1, and security breach notification laws. Drafted and implemented security provisions for professional services agreements involving the transmission or use of customer data. Drafted and negotiated agreements for professional services, including procurement of marketing, education, and technology related services. Responsible for Business Associate Agreements related to HIPAA. Assisted with review and drafting of M&A related agreements. Provided counsel regarding postal service regulations for major mailers.Oversaw maintenance of existing trademark portfolio and selection and clearance of new trademarks. Handled oppositions with the Trademark Trial and Appeal Board. Policed infringement of trademarks through cease and desist procedures; worked with outside counsel to utilize litigation where necessary. Responsible for copyright compliance and filings for copyright registration. Handled discovery aspects of patent infringement defense in several complex litigations. Oversaw integration of intellectual property assets, including compliance with transitional use of certain licensed trademarks, related to acquisition of several companies.
