•PIX's features derive from suggestions, contributions, and reviews by Oscar-winning filmmakers we work with regularly, including directors, producers and editors, such as David Fincher, Walter Murch and Sam Mendes.

•OnAir (based in Geneva) is the leading provider of GSM &amp; GPRS service for commercial aircraft.  Customers include British Airways &amp; RyanAir.  OnAir is a member of the GSM Association and an Inmarsat Distribution Partner for SwiftBroadband services.

•Helped create OnAir via the merger/ sale of Tenzing with assets &amp; personnel from SITA and Airbus.

•Requested by the Tenzing Board to represent Tenzing as a Member of the OnAir Supervisory Board.

•Requested by the OnAir Board to serve on the Audit and Nominating Committees, in addition to serving as Chairman of the Compensation Committee.

•Members of the OnAir Board include the CIOs of British Airways and Cathay Pacific, the CEO of SITA INC, and the EVPs of Customer Service and European Sales at Airbus.

OnAir, N.V.

Supervisory Board Member

•Tenzing was the leading provider of inflight email and SMS, with service on 900 aircraft.  Tenzing was sold in February 2005 to OnAir NV.

•In 2001, requested by the Board of Directors to help reorganize 100+ person company post-9/11.

•Joined as Interim CFO with responsibility for restructuring the business model, fundraising and reducing costs.

•Efforts resulted in a successful raise of $10+mm and a 60% reduction in costs and headcount.

•In 2003, at the request of the CEO, Board and lead investor (Rockwell Collins) transitioned to full-time CFO.

•#2 Executive, responsibilities included acting as Interim CEO, leading all Board meetings from March ’04 until merger with OnAir, and structuring successful 3-way cross border merger with Airbus & SITA to create OnAir.

•Sole responsibility for Tenzing Board matters and oversight of entire management team from May ’04 until merger.

•Requested by merger partners to become CFO of OnAir.

•Led press briefing on OnAir merger announcement, including Q&A and media interviews.

•Customers included Cathay Pacific, Continental, Emirates, Iberia, Northwest, United, US Airways, and Virgin. 

•Board Members included the COO and CFO of Rockwell 
Collins, in addition to the Head of Strategy of Airbus.

•Investors: Airbus, Swire Pacific, Rockwell Collins and Fremont Communications.

Tenzing Communications, Inc.

•Fremont Communications was a fund focused primarily on wireless data services, led by Sam Ginn (previously CEO of AirTouch and Chairman of Vodafone).  

•Portfolio companies included Kivera (acquired by TCS), Mirapoint and Tenzing (acquired by OnAir, N.V.).

•Worked primarily with Peters Suh, now President Vodafone Asia Pacific and Vodafone Ventures Limited.

•Sourced investment opportunities in several communications and related sectors.

•Structured and negotiated terms of transactions, from seed stage venture capital to large private equity.

•Led all aspects of business due diligence and oversaw legal and accounting due diligence.

•Assessed attractiveness of markets, conducted competitive and financial analyses and evaluated management teams.

•Active involvement with portfolio companies - including recruiting, fundraising, strategy and cost reductions.

Fremont Communications

•Analyst, Corporate Finance/ Mergers & Acquisitions (Global Energy Group)	

•Completed 10 equity, M&A and high yield transactions, including a lead-managed dual-listed IPO (with a European & US roadshow) and a major Joint Venture between Shell & Texaco.

•Developed DCF, LBO and financing models and economic value-added comparisons.

•Supervised one or more other analysts on transactions; often reported directly to Managing Director.

•Co-head analyst for Morgan Stanley’s Duke recruiting team, co-head of Mentor program for incoming analysts.
