▪ Run Studio and Network-side business and legal affairs for MTV, VH1 and Spike cable television programming, with a focus on original television series development and production.

▪ Responsibilities include structuring and negotiating Production Services Agreements, License Agreements, and Co-Financing Agreements; negotiating and closing above-the-line talent agreements, including Overalls, First Look, On-Camera, Producer, and Director deals; managing in-house studio and third-party studio productions, from development and casting through principal photography and post-production; liaising with talent representatives; and advising on a broad range of financial, legal, and operational matters, including talent compensation, backend/profit sharing, distribution rights, guild/union matters, intellectual property, sponsorships, and network standards.

▪ Project Highlights: MTV’s TEEN MOM and 16 & PREGNANT franchises; MTV’s FEAR FACTOR format license; and Spike’s true-crime documentary GONE: THE FORGOTTEN WOMEN OF OHIO.

▪ Deal Highlights: Chernin Group and KKR’s $300 million Asian entertainment co-investment venture.

▪ Mergers & Acquisitions; Joint Ventures; Finance: Broad-based corporate practice negotiating for investors and companies in M&A, private equity/joint venture, and financing and royalty purchase deals across IP-focused industries such as Pharmaceuticals, Gaming, Technology, and Entertainment and Media. Responsibilities consistent with that of Senior Associate, including supervising and training a team of junior attorneys and paralegals; drafting and closing deal documentation; and supervising specialist and international counsel review.

▪ Deal Highlights: Ashland Inc.’s $3.2 billion acquisition of International Specialty Products and simultaneous $3.9 billion acquisition debt financing. Senior secured $2.1 billion credit facility on behalf of lead arranger Credit Suisse.

▪ Mergers & Acquisitions: Represented buyers and sellers in high-value M&A transactions. Responsibilities included drafting stock acquisition and merger agreements, disclosure schedules, due diligence memos, and acquisition financing documentation; managing concurrent M&A and Finance closings; and delivering client memos.

▪ Corporate Governance: Advised Board of Directors and CEOs of public companies on corporate governance and disclosure obligations under federal securities laws. Represented Bank of America as special counsel overseeing the company’s SEC filings under regulatory scrutiny.

▪ Banking: Represented Wall Street banks such as J.P. Morgan, Credit Suisse, and Goldman Sachs and Fortune 500 corporate borrowers in large Syndicated Lending transactions, including investment grade, leveraged, asset-based and acquisition financings. Responsibilities included structuring, drafting, and negotiating commitment papers and definitive credit, guarantee, and collateral/security documentation.
