As an associate in the Corporate M&A team at Clifford Chance in London I worked primarily on cross border private and public M&A, corporate restructures and private equity.  During my time at Clifford Chance I  advised:

-  Skyepharma PLC, a UK-listed pharmaceutical company, on its £440 million all share merger with Vectura Group plc.;

-  ABI InBev, a multinational beverage company, on its US$50+ billion, multiple-jurisdiction internal restructure in connection with its merger with SABMiller;

-  EQT VI, a private equity fund, on its acquisition (for an undisclosed amount) of Independent Vetcare, a UK-based private veterinary group, from Summit Partners; and

-  HSBC on its sale (for an undisclosed amount) to Lamda Development S.A. of its 50 per cent. interest in ‘The Mall Athens’, a Greek shopping centre.

I am presently an associate in the Corporate Markets team in Baker & McKenzie's Sydney office, primarily working on cross border private and public M&A deals and equity capital markets transactions.  During my time at Baker & McKenzie I have advised:

-  Nudie Juices, a privately held Australian juice company, on its A$80 million sale to Monde Nissin Corporation, a Filipino food conglomerate;

-  APN, an ASX listed news and media company, on its A$78 million acquisition of a Perth radio station, 96FM, from Fairfax Limited;

-  WME IMG, an international talent management agency, on its acquisition of Australia's premier artist booking agency, Artist Voice; and

-  KordaMentha, company administrators, on the sale from voluntary administration of the Miss Chu restaurant business.

I am currently practicing as a lawyer at Hardy Bowen, a boutique Western Australian corporate law firm comprised of ex top-tier practitioners specialising in the energy and resources sector. Doyle’s Guide to the Australian Legal Profession listed Hardy Bowen as one of Australia’s “Ten Best Firms of 2012” and ranks it amongst the top four corporate/M&A firms in Western Australia for matters under $250 million.

Due to the small and very busy nature of the firm I have been given significant responsibility on a wide variety of matters, including advising:

-  a dual ASX/AIM listed company on the $US50 million demerger of its China energy assets from its Australian mineral assets, including preparing for the subsequent AIM listing of the demerged energy business. My role has included drafting the notice of meeting for the demerger and ASIC and ASX waiver applications;

-  a TSX-listed mining company on its acquisition of various mining tenements from an ASX-listed company. My role included conducting due diligence and drafting the share and tenement sale agreement; and

-  a private Western Australian based drilling company on its sale to an ASX-listed competitor. My role included drafting the heads of agreement, associated convertible note deed and share sale agreements for management and non-management vendors.

I have also prepared numerous miscellaneous documents including joint venture agreements, scheme implementation deeds, prospectuses, tenement sales and leases, letters of advice, notices of meeting and convertible note deeds.

I have specialised in the areas of mergers and acquisitions, equity capital markets, private equity and information technology and intellectual property.

During my time at Clayton Utz, I was a member of the team advising:

-  Origin Energy on its issue of subordinated notes to raise $900 million to assist in funding its Australian Pacific LNG coal seam gas to liquefied natural gas project;

-  Origin Energy on its pro rata renouncable entitlement offer to raise $2.3 billion to refinance debt used to fund NSW electricity asset acquisitions;

-  Faulkner Media Management, a media consultancy, on its sale to UK based Ebiquity;

-  a Dutch multinational in its proposed multi-jurisdictional acquisition of an Australian based shipbuilder;

-  a Japanese consortium in its negotiation with an Indian firm and its financiers regarding the supply of coal to its Western Australian power station;

-  Casimir Capital, a US based investment bank, on its cross-jurisdictional private placements of stock in several small-cap Australian mining companies; and

-  Catalyst Investments Managers on its acquisition of Adairs and Dusk, two national retail businesses.

I worked full time as a paralegal on a $100 million litigation both for Clayton Utz (January 2008 – September 2008) and later directly for the client, Baulderstone Hornibrook (September 2009 – January 2010). This complex dispute dealt with various claims and counterclaims between Baulderstone Hornibrook, a construction firm, and QIC, an institutional investment manager, concerning the construction of Westpoint Shopping Centre, Blacktown. My role included conducting research, overseeing a team of paralegals and coordinating and planning an efficient and effective large scale document review.
